ユーザー作成コンテンツ利用規約

This User Generated Content Terms and Conditions Agreement (“Terms” or “UGC Agreement”) is between you (“user”, “you”) and Auberge Resorts LLC, including its affiliated companies within the Auberge Resorts collection of properties (“Auberge Resorts”, “we”, “our”, “us”), and governs our use of your User Generated Content, as defined below, that you post or share using third-party platforms or websites such as Instagram, Twitter, Facebook, LinkedIn, Pinterest, TikTok, Reddit, and others

 (“Third-Party Sites”) in which you tag or direct message Auberge Resorts, or which you upload directly to our website at aubergeresorts.com or any subdomain where these Terms are posted (“Auberge Resorts Sites”).  

By posting or sharing photos, text, graphics, audio, video, location information, comments and other materials (“User Generated Content” or “UGC”) on Third-Party Sites tagging or directly messaging Auberge Resorts, you are making a submission (“Submission”) to Auberge Resorts LLC and/or its affiliated properties, and you agree to the following Terms.

You retain any copyright or other intellectual property rights that you may have in your User Generated Content.  You hereby grant, and warrant and represent you have the right to grant,  to Auberge Resorts LLC and its related companies, agents, licensees, sublicensees, contractors, successors, legal representatives, assigns, and third-party service providers (collectively, the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, unrestricted, unconditional, unlimited, perpetual, cost-free, transferable, sublicensable right and license to use, copy, record, distribute, translate, modify, reproduce, disclose, sublicense (through multiple levels), display, publicly perform, transmit, publish, broadcast, translate, make derivative works of, and otherwise exploit in any manner whatsoever, all or any portion of  your User Generated Content (and derivative works thereof) in any manner to be determined in the Licensed Parties’ sole discretion, including but not limited to using, copying, recording, distributing, translating, reproducing, disclosing, sublicensing, publishing, exhibiting, reproducing, digitizing, modifying, adapting, creating derivative works from, publicly performing, publicly displaying, incorporating, and otherwise exploiting such User Generated Content in connection with the Auberge Resorts Sites for any purpose whatsoever in all formats, on or through any media, software, formula, or medium now known or hereafter developed, and with any of the rights and license you grant in this User Agreement, you retain whatever legally cognizable right, title, and interest that you have in your User-Generated Content. We reserve the right, in our sole discretion, to determine which User Generated Content to use. We may publish, review, modify or remove all or part of your User Generated Content at our sole discretion.

ライセンス許諾された当事者は、このライセンスも含め、この同意の下で自身の権利のすべてまたは一部をお客様の事前の同意やお客様への支払いなしに譲渡もしくはサブライセンスすることができます。お客様は(a) ライセンス許諾された当事者が、お客様の事前の承認なく単独裁量でいかなるようにもユーザー作成コンテンツの掲示を配置する権利を有すること、(b) ライセンス許諾された当事者は、お客様のユーザー作成コンテンツを利用する際、お客様のクレジットやその他の帰属を表示する義務を負わないが、ライセンス許諾された当事者がお客様へのクレジット表示を行う場合、クレジットの大きさや配置についてはライセンス許諾された当事者の単独裁量となること、(c) お客様の「著作者人格権」は放棄されること、(d) お客様はそのユーザー作成コンテンツの利用に関連して、ライセンス許諾された当事者からのいかなる報酬やその他支払いに対しても権利を有しないことを認識し、同意します。お客様はユーザー作成コンテンツの利用（本規約に従ったもの）、ぼかし、修正、編集、歪曲、誤りのある再生、合成した形態での利用を原因として、ライセンス許諾された当事者に対し、許可する権利を有しないこと、報酬を求めないこと、苦情を申し立てないこと（プライバシー侵害、名誉棄損、著作権侵害に基づく申し立てを含みますが、それらに限定されません）に同意します。

お客様のユーザー作成コンテンツのあらゆる利用に関し、お客様はライセンス許諾された当事者に対し、お客様のユーザー名、実名、画像、肖像、お客様に関する説明、位置情報、または声を含むその他の個人を特定する情報（これに限定されません）を利用する権利を付与します。

You acknowledge that by granting permission to use your User Generated Content it is deemed non-confidential and non-proprietary and will not be returned. Further, the Licensed Parties do not assume any obligation of any kind to you or any Third Party with respect to your User Generated Content, and the Licensed Parties have no obligation to maintain the confidentiality of any information contained in the User Generated Content, in whatever form, except pursuant to the Licensed Parties’ privacy policies which can be found here. If you do not agree to the collection, use and disclosure of your personal information in this way, you should use the hashtag #NoReuse in connection with any tag or direct message to Auberge Resorts, and you should refrain from otherwise providing the Licensed Parties with personal information.

 表明、保証、免責

お客様は以下を表明し、保証するものとします。

(1) お客様は18歳以上であり、これらの規約に合意する法的権利と能力がある。

(2) お客様は自らのユーザー作成コンテンツに全責任を負う。

(3) お客様はそのユーザー作成コンテンツに対する権利ならびにそれに付随する権利を全て有し、さらに/または、かかるユーザー作成コンテンツに関するすべての権利を所有、管理、または主張する、すべてのいかなるその他の人物や団体から適切な権利と許可を取得している。

(4) 本書に記載される、ライセンス許諾された当事者によるお客様のユーザー作成コンテンツの利用が、著作権、商標、特許、企業秘密、プライバシー、宣伝、道徳、所有権、すべての第三者のその他の権利やすべての適用法、規則、規制をはじめ（これらに限定されません）、いかなるその他の人物や団体の権利の侵害、悪用、もしくは違反にならない。

(5) the User Generated Content does not contain any content that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous; unlawful, and/or is known by you to be false, inaccurate or misleading;

(6) ユーザー作成コンテンツが広告やその他の商用コンテンツを含まない。

(7) お客様は自らのユーザー作成コンテンツに関連したいかなるロイヤリティ、費用、その他支払いに対して責任を負う。

(8) お客様は自らのユーザー作成コンテンツをアップロードもしくは投稿した、すべての第三者のサイトで適用される利用規約を順守する。

お客様はここに、あらゆる種類の第三者からの申し立て、訴訟、またはあらゆる種類の手続きから、ならびにこれら免責や声明への違反や違反の疑いに関連して、もしくはかかる違反や違反の疑いから発生したあらゆる種類の損害、法的責任、費用や経費から、ライセンス許諾された当事者を免責するとともに損害を与えないことに同意します。

プライバシーポリシー

The Licensed Parties will use any personal data they receive in connection with their use of the UGC in accordance with these Terms and the applicable プライバシーポリシー. You consent to their collection of any personal data you provide in your UGC. If you do not agree to the collection, use and disclosure of your personal information in this way, please do not provide the Licensed Parties with personal information or agree to these terms. You agree to such collection, use, disclosure, transfer and processing of your information in accordance with these Terms and the applicable Privacy Policy.

ユーザー作成コンテンツの削除

To request removal of your User Generated Content, or if you have questions regarding these Terms or requests concerning your personal information, please contact us by email at privacy@aubergeresorts.com and inform us of the State or Country outside of the United States where you reside.

お客様は、オーベルジュ リゾートのサイトから自身のユーザー作成コンテンツを削除するよう当社に要請することができ、当社は商取引上の合理的な段階を踏んでお客様のユーザー作成コンテンツを削除します。上記に関わらず、お客様はそのユーザー作成コンテンツすべてを削除することができない場合があり、たとえば第三者のウェブサイトに掲載されているユーザー作成コンテンツを削除することができない場合があることを認識します。当社は、法的もしくはコンプライアンスの目的で、必要に応じてユーザー作成コンテンツのコピーを保持する権利を有します。

お客様は、ライセンス許諾された当事者にお客様のユーザー作成コンテンツやその一部を利用する義務がないこと、単独裁量でオーベルジュ リゾートのサイトのユーザー作成コンテンツを事前に選別、確認、削除する（義務ではなく）権利を有することを認識し、同意します。さらにお客様は、ライセンス許諾された当事者がその単独裁量で、いかなる時にも理由を問わず、お客様への通知の有無にかかわらず、いかなるユーザー作成コンテンツをもオーベルジュ リゾートのサイトから削除できることを理解し、同意します。

オーベルジュ リゾートの知的財産権

THE AUBERGE RESORTS SITES MAY BE PROTECTED BY COPYRIGHT, TRADEMARK, AND OTHER INTELLECTUAL PROPERTY LAWS.  YOU ACKNOWLEDGE AND AGREE THAT BY AUTHORIZING USE OF YOUR USER GENERATED CONTENT YOU DO NOT ACQUIRE ANY OWNERSHIP OR OTHER RIGHTS IN INTELLECTUAL PROPERTY OR OTHER PROPRIETARY INFORMATION OWNED BY AUBERGE RESORTS.

法的責任および損害の制限

You hereby agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with the User Generated Content or these Terms shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards in your favor shall be limited to actual out of pocket costs incurred, including costs associated with Submitting the User Generated Content, but in no event will your attorneys’ fees be recoverable; and (c) under no circumstances, including for negligence, will any Licensed Party be liable to you for punitive, incidental or consequential damages, lost data, lost profits and/or any other damages. You acknowledge and agree that neither the Licensed Parties nor any of their officers, directors, or employees are responsible for any costs, injuries, losses, or damages of any kind arising from or in connection with the User Generated Content (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on your rights of publicity or privacy, or a claim for defamation). Under no circumstances will any of the Licensed Parties be held liable for any damage to computer systems, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, or the failure to capture any information.  

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT WILL ANY OF THE LICENSED PARTIES’ TOTAL LIABILITY (IN THE AGGREGATE) TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USER GENERATED CONTENT WHETHER IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE) OR OTHERWISE EXCEED FIVE HUNDRED DOLLARS ($500.00).

利用規約の修正

本利用規約は、テクノロジーや法律における変化に対応することを目的としたものも含め、適宜修正される場合があります。お客様がご自身のユーザー作成コンテンツの利用について当社に許可を付与する度に、本利用規約を確認されることをお勧めします。当社は、修正された規約を掲載することにより、お客様に対して事前の通知なしに、いつでも本利用規約を変更する権利を有します。いかなる変更や修正も掲載と同時に発効します。

可分性

本利用規約のいずれかの規定が管轄権を有する裁判所によって無効、違法、または執行不可能と判断された場合、かかる無効、違法、執行不可能な規定は当事者の本来の意図を可能な限り反映するよう解釈されるものとします。本利用規約のその他すべての条項は効力を維持します。
準拠法および裁判管轄権

本合意は、法の抵触の規則に関わらず、アメリカ合衆国カリフォルニア州法に準拠し、アメリカ合衆国カリフォルニア州法に従って解釈されます。お客様は、法律で認められる範囲で、本合意において発生するすべてのかかる申し立てまたは紛争に関する訴訟に関して、カリフォルニア州マリン郡に所在する州裁判所およびカリフォルニア州北部連邦地方裁判所の対人管轄権に従うことに合意します。

本利用規約は一身専属であり、オーベルジュ リゾートからの書面による事前の同意がなければ、いかなる理由であっても移転や譲渡はできないものとします。
